This Deed or Memorandum of Understanding is between two individuals who have decided to co-operate in a new joint venture operation. This deed creates a 'partnership agreement', but just for the express purpose of the venture and for no other purpose. The parties are going to cooperate to buy land, create a duplex, split title, assign title, and then go their own way. When the project is complete the partnership ends. Ownership can be different (or equal) but decision making is based on equality between the parties. Rules for running the operation agreed, and certain risks identified and dealt with. It adopts a modern document style (28 pp.); it uses ASIC's help to define likely and expected 'books of account and accounting records' (most of which will not be necessary as there is are no trade revenues, just purchase & building under mortgage); and uses an agreement between the parties for any development. Any significant change or anything that cannot be resolved, including the end of the venture, requires a new agreement. (L-09015)
