Subcontractor's agreement - protection &confidentialityCo/ST

This general agreement allows a contractor (company) to engage a sub-contractor (sole trader) to work on unspecified contracts for which (s)he is the head-contractor over a particular term of arrangement. The agreement seeks to ensure that the sub-contractor is not considered to be an employee of the head-contractor. The agreement is careful about conflict of interest, assignment and confidentiality, and seeks to openly restrain trade (to the extent legally permissible) by the Subby with key players after the contract is over.

QLD - Agency Agreement - Assigned Territory (scouter hard)

An agreement (deed) between a supplier of IT goods and services ('the principal') and a seller ('the agent') who operates as a "scouter" in the State of Queensland that allows the agent to sell three types of contract (goods and services contracts) to the customer on behalf of the principal for a commission, the principal having all the expertise and the principal to do all the work. The customer thinks he/she is dealing with the principal. It removes all warranty considerations from the agent and indemnifies the agent from all considerations arising from supply.

NSW - NonAgency Agreement -Special club deal for Respondents

An agreement (deed) between a club (the 'principal') and a promoter (the 'promoter') in New South Wales that creates a commission-only, non-agency, non-employment, promotional agreement for a given period .The promoter distributes leaflets that introduces others to the value of membership of the Club and offering a special deal. The special deal gives rise to a discounted first year Membership Fee which can only be obtained by quoting the promoter's unique identifier. Unique Promoter Identifier (UPI). Special Membership Fee (SMF). Special Introduction Fee (SIF).
