Useful for micro business, small business, and SMEs. A company in Australia may have one member only. It makes little sense to prepare Board Minutes if you only have one director or prepare the Minutes of an AGM if you only have one member. But a company that has only 1 member may pass a resolution by the member (a) recording his/her resolution, (b) signing and dating the record, and (c) including it in the company's Resolutions Book. Some resolutions are legally required, for example when registration of important changes in the life of the company is required by a government agency, such as the ASIC and the ATO. But it actually makes sense for all important decisions made by the director and all important events in the life of the company to be represented by a Single Director Resolution signed by the Director/Member and kept in the Resolutions Book.
